Responsibilities
Playing a major role in the Legal IP and digital team, you will be part of a team in charge of the legal management and support to operational teams around the Alstom Digital activities and the software management (including the risk management attached to the use of Open Source Software by the Alstom Software developers community), the cybersecurity topics, the data management, the AI and all related regulations (particularly the european regulations), as well as all kind of actions and legal activities around the digital topic under the Legal IP & Digital department.
The aim of this team is to structure, to organize and to manage all relevant and required activities around the in-house developed software and digital activities and to support the Company on the legal issues related to it.
Reporting to the VP Legal IP and Digital, your role will include, but is not limited to:
1. Legal support to the operational team in charge of the development of Alstom software solutions or software, in term of structuring the licensing models and related road map.
2. the legal support and relevant analysis to be made in the management of the Open Source Software used by the Alstom software development community
3. Legal support related to the software acquisition from third parties (Alstom ownership) embedded in the equipment or components bought for Client projects, by the drafting of relevant guidelines, (cybersecurity issues and security of the products themselves, will be part of them).
4. Support to the tenders teams and legal in regions, on all cybersecurity services offers, and all digital topics to be managed during the tender activities and particularly on project integrating Saas activities or similar structure in terms of digital services.
5. Support to tenders, project and direct procurement teams in the management of the Escrow on software to be organised in the frame of the Alstom activities (contacts with the relevant escrow agencies and support to the management of the escrow agreement to be organised…)
6. Support on the definition of Alstom business model for Alstom owned software,
a) Saas model
b) On premises
c) Other structures
7. Definition on the ways of working and RACI to be organised with the relevant internal stakeholders.
8. Support on the management of the Cybersecurity aspects with the VP Group Product & Solutions Cybersecurity teams (product and solution Cybersecurity) and participation to all governance around the implementation of the new EU regulations around cyber topics, such as CRA or NIS2.
9. Data management (How to handle customers data/suppliers data, How to protect Alstom data integrating also the EU regulation around the data Management (Data Act)
10. Organisation of all relevant and necessary trainings for all Alstom population involved in the software and digital activities within Alstom or for which it should be necessary to have the relevant knowledge on software and digital specificities, including the relevant regulations.
Technical Knowledge / Experience
As Senior Legal Counsel IS&T/IP with strong knowledge on software and Digital:
- you are a French and/or European qualified lawyer (Master degree) with at least 10 years of relevant working experience gained as in-house legal counsel and/or in private practice in an international setting;
- you have proven experience in drafting, reviewing and negotiating (international) IT commercial contracts and software licensing either on premises or on a SaaS mode;
- you have a strong business acumen, a robust yet flexible personality, good communication skills (oral and written) and are able to operate in a multi-cultural and multi-jurisdictional environment.
- You have a very good knowledge on new EU regulation around the digital.
- you have demonstrated experience directly advising non-legal people on complex business arrangements involving complex legal issues, in terms they can understand -international commercial transactional experience;
- you have the knowledge/experience of IS&T Contracts and more particularly on the software issues and the few distribution mode to be used around software (software, licenses (on premises, SaaS…), outsourcing...etc)
- you are proficient in English (working language). Knowledge of one or more other languages is considered a plus.
Business Understanding
- Knowledge of IT systems and more particularly on the software management in IT solutions and Open Source Software Management.
- Cybersecurity legal Management
- Knowledge of the EU Digital regulations CRA, NIS2, Data Act, AI Act
- Experience and comfort working in a worldwide matrix-based organization.
- Having knowledge of railway industry would be a plus
