You will join the Corporate Finance team of Natixis' Legal and Banking Department, which is responsible for supporting dedicated businesses in particular:

to the financing of companies, whether through the implementation of bilateral loans or syndicated loans in France and abroad;

to the monetization of claims, particularly tax claims, and more broadly to discount sale transactions; and
-
the establishment of trust operations (management, security trust or mixed trust).
You may also be required to support acquisition financing business teams.
You interact with the managers of the business line, project managers, middle office and agency teams, other lawyers and other departments of the bank (compliance, risk, taxation,...) and the legal advice of the bank and clients.
On a daily basis, your mission is to:

to draft and negotiate in the case of bilateral contracts, and review and negotiate, in the case of syndicated contracts, the documents relating to the transaction (mandate, securities, legal opinions, loan contracts, transfer agreements, etc.) as well as the amendments to these contracts

assist the business team in structuring their products, from implementation to syndication (including by way of sub-participation) according to the envisaged strategy;

answer various questions during the life of the operations (business and support functions of the bank);

assisting the profession in mandating legal counsel and ensuring the follow-up of the relationship with them;

to contribute to the legal aspects of the various business projects;

participate in the life of the legal banking department (promote exchanges of best practices and team spirit) and contribute to the legal working groups outside transactions (cross-cutting topics) within the Legal Department;

to be a facilitating partner, while participating in the control of legal risks for the bank;

With a higher education, you have at least 3 years of experience in the field of banking and financial law, particularly within the legal department of an investment bank or a law firm.
You are particularly familiar with:
- French law on obligations and contracts;
- French banking and financial law;
- The LMA contract templates.
You have excellent interpersonal skills, a very good listening ability, you are:
- Endowed with a strong spirit of analysis and synthesis;
- Pragmatic;
- An excellent communicator both in writing and orally.
You must be proficient in English with a minimum level of C1.
